1. Agreement to Terms
By accessing or using Devtrix's website, services, or any digital products we provide, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
These terms apply to all visitors, users, clients, and others who access or use our services. We reserve the right to update or modify these terms at any time without prior notice. Your continued use of our services following any changes constitutes acceptance of those changes.
2. Services
Devtrix provides digital technology services including, but not limited to:
• Custom software development
• Website design and development
• Mobile application development
• UI/UX design
• Automation solutions
• System integrations
• Cloud and infrastructure services
• Technical and IT consultancy
The specific scope, deliverables, timelines, and pricing for any project will be detailed in a separate service agreement or proposal provided to clients.
3. Client Responsibilities
As a client, you agree to:
• Provide accurate and complete information necessary for project completion
• Respond to communications and requests for feedback in a timely manner
• Ensure you have the rights to any content, materials, or data you provide to us
• Make payments according to the agreed-upon schedule
• Review and approve deliverables within the timeframes specified in your agreement
• Comply with all applicable laws and regulations in connection with your use of our services
4. Intellectual Property
Unless otherwise specified in a separate written agreement:
Client Materials: You retain ownership of all content, data, and materials you provide to us for use in your project.
Devtrix Materials: We retain ownership of all pre-existing tools, frameworks, methodologies, and general knowledge used in delivering our services.
Deliverables: Upon full payment, you will own the custom work product created specifically for your project, excluding any third-party components or our proprietary tools incorporated therein.
Portfolio Rights: We reserve the right to showcase completed projects in our portfolio and marketing materials unless otherwise agreed in writing.
5. Payment Terms
Payment terms will be outlined in your specific service agreement. Generally:
• A deposit may be required before work commences
• Milestone payments may be required for larger projects
• Final payment is due upon project completion or as specified
• Late payments may incur additional fees and may result in work suspension
• All fees are exclusive of applicable taxes unless stated otherwise
We accept various payment methods as communicated during the engagement process.
6. Project Changes and Cancellations
Change Requests: Any changes to the agreed scope of work may affect project timelines and costs. We will provide estimates for any significant changes before proceeding.
Cancellation: If you wish to cancel a project, written notice must be provided. You will be responsible for payment of all work completed up to the cancellation date, plus any third-party costs already incurred.
Refunds: Deposits and payments for completed work are generally non-refundable. Refund eligibility for specific circumstances will be evaluated on a case-by-case basis.
7. Warranties and Disclaimers
We warrant that our services will be performed in a professional manner consistent with industry standards. We will correct any defects in our work reported within 30 days of delivery at no additional cost.
However, we do not warrant that:
• Our services will meet all your requirements or expectations
• Services will be uninterrupted, timely, secure, or error-free
• Results obtained from our services will be accurate or reliable
• Any defects in third-party software or services will be corrected
EXCEPT AS EXPRESSLY SET FORTH HEREIN, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
8. Limitation of Liability
To the maximum extent permitted by law, Devtrix and its directors, employees, and agents shall not be liable for:
• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use our services
• Damages arising from any third-party services or integrations
Our total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.
9. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes, but is not limited to:
• Business plans and strategies
• Technical specifications and code
• Customer data and information
• Financial information
• Any information marked as confidential
This obligation survives the termination of any agreement between us.
10. Indemnification
You agree to indemnify, defend, and hold harmless Devtrix and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
• Your use of our services
• Your violation of these terms
• Your violation of any third-party rights
• Content or materials you provide to us
11. Termination
Either party may terminate the business relationship:
• Upon completion of all agreed services and final payment
• With written notice as specified in your service agreement
• Immediately if the other party breaches these terms materially
Upon termination, you must pay for all services rendered up to the termination date. Provisions regarding intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.
12. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Malta, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Malta.
